These Terms of Use govern access to and use of Proudli. Proudli is operated by iDownsize Services Pty Ltd trading as Proudli (Proudli, we, us or our), an Australian company based in New South Wales.
By accessing or using Proudli, creating an account, claiming or managing a profile, submitting a contribution, purchasing a subscription or otherwise using our services, you agree to these Terms. If you use Proudli for an organisation, you represent that you have authority to bind that organisation.
These Terms should be read with our Privacy Policy, Contribution & Proof Integrity Policy, Verification, Scores & Leaderboards Methodology and any additional terms displayed for a particular service.
1. What Proudli is
Proudli is a professional reputation and proof platform. It enables people and organisations to create, verify, contribute to, analyse and display information relating to professional experience, completed work, transactions, projects and professional relationships.
Depending on features available from time to time, Proudli may include professional profiles; Proof Stories; participant confirmations and endorsements; identity, role, employment, licence or transaction verification; public, licensed and third-party data; points, rankings, leaderboards and badges; summaries and analytics; widgets; AI-generated classifications and insights; organisation and team profiles; market and industry insights; introductions and lead-generation features; subscriptions; advertising and sponsorship; and APIs, data products and enterprise services.
Proudli provides structured evidence about professional activity and reputation. It does not guarantee that any person is suitable for a particular engagement.
2. Types of Proudli users
A Visitor is anyone who views or searches Proudli.
A Professional is an individual whose professional work, experience, projects, transactions, reputation or credentials are represented on Proudli.
A Contributor is a person who contributes information about a Professional, Proof Story, transaction, project or professional relationship, including a client, vendor, purchaser, customer, colleague, supplier, employer, employee or professional counterparty.
An Organisation User is a business, agency, employer, franchise, team or other organisation that creates, claims, manages or pays for Proudli accounts or services.
Proudli may also provide services to professional bodies, data customers, advertisers, sponsors and other commercial users, subject to additional terms where applicable.
3. Eligibility and accounts
You must be at least 18 years old to create an account and must provide accurate, current and complete registration information.
You must not impersonate another person; create an account using a false identity; create multiple accounts to manipulate Proudli; permit another person to submit testimony or verification through your identity; sell or transfer an account without approval; or use another person’s account without permission.
You are responsible for keeping account credentials secure and must promptly notify us if you believe your account has been compromised.
4. Proof Stories and professional evidence
A Proof Story is intended to represent a genuine professional transaction, project, engagement or work event. It may include participant identities or roles, dates, locations, categories, services, outcomes, supporting evidence, confirmations, endorsements and verification information.
A Proof Story does not mean every fact has been independently verified by Proudli. Proudli may display different verification levels, including self-declared, identity confirmed, participant confirmed, role confirmed, transaction confirmed, supported by third-party data or independently verified.
5. Your responsibility for contributions
If you submit information, statements presented as facts must be accurate and not materially misleading; statements presented as opinions must reflect opinions you genuinely hold based on your actual experience; you must have genuinely participated in, observed or had a relevant relationship with the matter; you must accurately describe your role; and you must have a lawful right to provide any content, documents, photographs, personal information or confidential material you submit.
6. Testimonial and endorsement integrity
Proudli depends on genuine professional evidence. You must not create, arrange, encourage or facilitate false, fabricated or misleading endorsements or Proof Stories.
Without limitation, you must not: submit an endorsement about yourself while pretending to be another person; create fictitious clients or counterparties; contribute to a matter in which you did not participate; buy endorsements; operate account farms or bots; duplicate transactions to obtain extra points; materially misstate a transaction; draft a contributor’s supposed independent opinion and represent it as theirs; threaten or improperly pressure a contributor; condition a benefit on positive testimony; conceal a material incentive or relationship; or attempt to suppress genuine evidence solely because it is unfavourable.
A Professional may help a Contributor with objective factual details, but the Contributor’s personal assessment or opinion must remain their own.
7. Incentivised contributions
Proudli may permit incentives for participation only where the incentive is not conditional on positivity, substantially the same benefit is available regardless of sentiment, the Contributor remains free to express a genuine opinion, and the incentive or material relationship is disclosed where required.
Proudli may label incentivised contributions and may exclude them from particular scores, badges, rankings or leaderboards.
8. Professional obligations
Professionals may invite genuine participants to contribute, provide factual information, submit supporting evidence, identify errors, dispute factual claims with evidence and respond where that feature is available.
A Professional must not require predetermined favourable wording or represent that Proudli endorses the Professional merely because a profile exists, identity is verified, a subscription is purchased or a verification badge appears. A verification badge means only that the verification described by the badge was satisfied at the relevant time.
9. Organisation and employer accounts
Organisation administrators must have authority to act for the organisation. Organisations must not impersonate Professionals, fabricate client contributions, rewrite independent opinions without consent, manipulate historical evidence because a person has left, or falsely claim credit for another person’s work.
Where a Professional changes organisations, Proudli may preserve historical Proof Stories and evidence where it remains accurate and lawful.
10. Verification
Proudli may verify identity, professional status, role, employment, transaction participation and other information using email or mobile verification, social authentication, identity providers, business records, career data, professional registers, licensing information, regulatory databases, property or transaction data, public sources, participating organisations, user-supplied evidence and third-party data providers.
Verification reduces some forms of fraud but cannot eliminate them. A verification result means only that the applicable process was satisfied at the relevant time.
11. Requests for additional evidence
Proudli may request reasonable evidence where we suspect identity manipulation, fabricated testimony, duplicates, inaccurate transaction information, undisclosed relationships, coordinated manipulation, misuse of incentives or other conduct affecting integrity.
If sufficient evidence is not provided, Proudli may mark information unverified or disputed, exclude it from calculations, restrict visibility or take other proportionate integrity measures.
12. Anti-gaming measures
Proudli may use automated and manual systems to detect unusual activity. Where we reasonably believe manipulation has occurred, we may require further verification; mark information disputed or unverified; disregard a contribution; reverse improperly obtained points; recalculate scores or rankings; remove badges or duplicates; limit functionality or visibility; suspend an account; or terminate an account for serious or repeated misconduct.
Where reasonably practicable, users will have an opportunity to respond before significant permanent action is taken, except where immediate action is reasonably required for fraud, security, legal compliance or protection of others.
13. Consequences of deliberate manipulation
If you knowingly or recklessly provide false information, impersonate another person, fabricate evidence or coordinate manipulation, improperly obtained points, rankings, badges, promotional benefits or commercial benefits may be withdrawn; relevant evidence may be retained for fraud prevention, dispute resolution and legal compliance; and, to the extent permitted by law, you may be responsible for reasonable losses and enforcement costs directly caused by your deliberate misconduct.
Nothing in this section creates a predetermined fine or penalty.
14. Scores, points and rankings
Proudli may calculate evidence indicators, points, badges, rankings or leaderboards using methodologies developed by Proudli. Factors may include verified experience, contributor evidence, evidence strength, recency, role, category, geography, transaction or project type, outcomes, evidence quantity, evidence diversity and confidence in underlying evidence.
Not every factor, weighting or fraud-control signal will necessarily be disclosed where disclosure would materially facilitate manipulation or compromise proprietary systems. Proudli may publish the main factors affecting outputs.
Scores, badges and rankings are informational only, reflect available evidence and methodology at the relevant time, may change, do not guarantee future performance and are not professional advice.
Unless clearly labelled as advertising or sponsored placement, payment does not entitle a Professional to buy organic points, alter genuine evidence or purchase a higher organic leaderboard position.
Proudli may reasonably update methodologies to improve accuracy, reduce manipulation, incorporate new evidence, improve fairness or address new misuse.
15. Selective participation and interpretation of evidence
Proudli does not represent that contributions on a profile are a statistically representative sample of every person with whom a Professional has worked. Professionals may invite particular genuine participants. Users should interpret Proudli material as evidence contributed or verified through the Platform, not a complete survey of all customers or counterparties.
Proudli may display contributor counts, Proof Story counts, verification status, evidence confidence, recency and other context to help users interpret the evidence.
16. Public and third-party information
Proudli may obtain lawful information from licensed databases, public registers and publicly available sources, including career history, licensing, disciplinary or regulatory information, property transactions, business affiliations, professional websites, publicly displayed reviews, public social profiles and other professional activity.
A Professional may be represented before creating or claiming an account. Where applicable, Proudli will provide reasonable mechanisms to claim a profile, identify inaccurate personal information, request correction and raise concerns. Claiming a profile does not create an unrestricted right to remove accurate independent evidence.
17. Corrections and disputed information
If you believe information is factually incorrect, you may request correction through our designated process and we may request supporting evidence. Depending on circumstances, Proudli may correct information, seek clarification, label information disputed, restrict access temporarily, remove content, maintain it or add relevant context.
Proudli is not required to resolve every disagreement about subjective opinions.
18. Defamatory and unlawful content
You must not knowingly publish false, seriously misleading or unlawful material, including knowingly false allegations of crime, fraud, dishonesty, serious professional misconduct or other conduct likely to seriously damage reputation.
This does not prevent lawful, genuine and appropriately supported statements about a person’s own experience. Users should distinguish opinion from asserted fact. Proudli may require supporting information for serious allegations.
19. Defamation and content complaints
Proudli maintains an accessible process for complaints about allegedly defamatory, unlawful, inaccurate or rights-infringing material. Complaints should be submitted through www.proudli.com.au/contact
A complaint should, where reasonably possible, identify the complainant, content, location of the content, affected person or organisation, the statement complained about, why it is said to be defamatory, inaccurate or unlawful, and supporting information.
Proudli may take reasonable interim steps, including temporarily restricting access, while reviewing a complaint; provide relevant complaint details to the contributor where reasonably necessary; seek further information; and restrict access while complex disputes are resolved. Nothing in these Terms limits rights under applicable defamation law.
20. Other prohibited content
You must not submit content that infringes intellectual property, unlawfully discloses confidential information, unlawfully discloses sensitive personal information, threatens violence, unlawfully harasses or discriminates, is obscene or otherwise unlawful, is spam or malware, facilitates fraud, impersonates another person or deliberately interferes with Proudli.
21. Licence to user content
You retain ownership of content you own. You grant Proudli a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, display, communicate, distribute and technically adapt that content to the extent reasonably necessary to operate Proudli, display profiles and Proof Stories, provide widgets, search and discovery, generate summaries and structured information, prevent fraud, verify evidence and provide requested services.
The licence continues for so long as reasonably necessary to provide the service, maintain legitimate historical records and comply with legal obligations. Personal information retention is also governed by our Privacy Policy and applicable law.
22. Derived information and analytics
Proudli may create statistical information, trends, aggregated market information, network analysis, benchmarks, categories, scores, rankings, fraud signals and de-identified or aggregated analytics. Subject to applicable privacy law, Proudli may use and commercialise information that does not identify an individual, including for market intelligence, benchmarking, research, enterprise products and data services.
23. Professional network information
Proudli may identify professional relationships evident from Proof Stories and other lawful data and use those relationships for professional network maps, collaboration insights, local market insights, referral or introduction functionality, professional discovery, team analytics and aggregated industry intelligence.
Private contact information or other non-public personal information will not be made public merely because people participated in the same matter.
24. AI and automated processing
Proudli may use automated systems and artificial intelligence to classify information, identify entities, match transactions, detect duplicates or suspected manipulation, summarise evidence, generate profile summaries, assist with scores, categorise professional activity, identify patterns and provide search or recommendation functionality.
Automated outputs can be incorrect. Proudli may provide mechanisms to report material factual errors. Personal-information handling in automated systems is further described in the Privacy Policy.
25. Advertising and sponsorship
Proudli may display advertising, sponsorships, promoted profiles or other commercial content. Where commercial content could reasonably be mistaken for an organic recommendation, ranking or endorsement, Proudli may identify it as sponsored, advertised or promoted. Payment does not entitle an advertiser to alter genuine Contributions or organic evidence.
26. Paid subscriptions
Proudli may offer free and paid services. Features, price and billing period will be displayed before purchase or in an applicable order. Unless otherwise stated, subscription fees are charged in advance, subscriptions renew for the selected billing period until cancelled, cancellation takes effect at the end of the current paid billing period, and fees already paid are not refundable merely because you stop using the service during the billing period.
This does not affect non-excludable rights or remedies. Prices will state whether GST is included. Material recurring price increases will be notified before a future renewal.
27. No ownership of ranking position
A paid subscription provides only the described features. It does not create ownership of a profile, score or ranking position; a right to suppress genuine evidence; a right to prevent methodology changes; or a right to require Proudli to describe a user favourably.
28. Proudli intellectual property
Proudli and its licensors own the Platform and its intellectual property other than user-owned content, including the brand, software, interface, designs, databases, verification systems, scoring methodologies, taxonomy, fraud detection systems, ranking methodologies, aggregated analytics and proprietary datasets.
29. Automated scraping and extraction
You must not systematically scrape, download or extract Proudli information without written permission. You must not use Proudli data to create a competing database, replicate profiles at scale, reverse engineer ranking methodology, construct artificial training datasets in breach of our rights or circumvent extraction controls. Separate API or data licensing terms may apply.
30. Third-party services
Proudli may integrate with third-party platforms, data providers, payment processors, identity providers, social networks, government databases and other services. They may have their own terms and privacy policies. Third-party data may contain errors or become outdated.
31. Privacy
Proudli handles personal information in accordance with its Privacy Policy and applicable privacy law. The Privacy Policy addresses collection sources, uses and disclosures, verification, automated processing, service providers, overseas disclosures, security, marketing, access and correction, and complaints.
32. No professional advice
Information on Proudli is general information. Proudli does not provide legal, financial, property, employment or other professional advice merely by operating the Platform. Users should make their own enquiries before appointing, employing or contracting with a Professional.
33. No guarantee of a Professional
Proudli does not guarantee that a Professional will perform to a particular standard, remains licensed after the most recent verification, will achieve a particular outcome, is suitable for a user’s requirements, has disclosed every relevant matter or will maintain the same score or ranking.
34. Availability of Proudli
We aim to provide a reliable service but cannot guarantee uninterrupted or error-free access. We may suspend or restrict parts of the Platform for maintenance, security, legal compliance or technical reasons and will take reasonable steps to minimise unnecessary disruption.
35. Consumer rights
Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including rights under the Australian Consumer Law. Where law permits liability to be limited rather than excluded, liability is limited only to the extent permitted by law.
36. Liability
To the maximum extent permitted by law, Proudli is not liable for loss arising solely from a user’s decision to appoint or not appoint a Professional; another user’s unlawful or fraudulent conduct; inaccurate third-party information where Proudli acted reasonably; legitimate changes to a score or ranking; temporary interruption outside our reasonable control; or consequences of information the user knowingly supplied inaccurately.
To the maximum extent permitted by law, Proudli is not liable for indirect or consequential loss that was not reasonably foreseeable when the relevant service was supplied. For claims arising from a paid Proudli service where liability may lawfully be limited, aggregate liability will not exceed the greater of fees paid for the relevant service during the preceding 12 months or AUD $1,000. Nothing limits liability that cannot lawfully be limited.
37. Your responsibility for unlawful conduct
You are responsible for loss directly caused by your unlawful conduct or material breach. To the extent permitted by law, you indemnify Proudli and its officers and employees against third-party claims and reasonable losses to the extent caused by deliberate or reckless false information; unlawful infringement of intellectual property; unlawful breach of privacy or confidentiality; fraudulent account activity; deliberate impersonation; unlawful defamatory material knowingly submitted by you; or deliberate manipulation.
The indemnity does not apply to the extent loss was caused or contributed to by Proudli’s negligence, unlawful conduct, breach or wilful misconduct and does not transfer liability that cannot lawfully be transferred.
38. Suspension and termination
Proudli may suspend or terminate an account where we reasonably believe there has been serious or repeated breach, fraud, manipulation, material security risk, a legal requirement or material legal risk. Where practicable and appropriate, notice and an opportunity to respond will be provided before permanent termination. Immediate suspension may occur where reasonably necessary.
39. Effect of account closure
Closing an account may remove account access but does not automatically require removal of independent Contributions, lawful public-source information, historical Proof Stories, legally required records or evidence reasonably required for fraud prevention or legal disputes. Personal-information requests will be handled under the Privacy Policy and applicable law.
40. Changes to these Terms
We may update these Terms for changes to Proudli, law, functionality, security or commercial services. Material changes affecting registered users will receive reasonable notice. Material adverse changes to an ongoing paid subscription will generally apply from the next renewal unless earlier application is reasonably required by law or security.
41. Communications
You consent to service communications reasonably necessary for account operation, including verification, security, Proof Story invitations, contribution notifications, dispute notifications, billing and material service changes. Marketing communications will be handled under applicable law and the Privacy Policy.
42. Assignment
You may not transfer contractual rights without our consent. Proudli may transfer rights and obligations as part of a genuine corporate restructure, financing, sale or transfer of the Proudli business, provided the transfer does not materially reduce your rights.
43. Severability
If part of these Terms is invalid or unenforceable, it will be read down to the extent possible or severed, and the remainder continues.
44. No waiver
A delay in enforcing a right does not waive that right.
45. Entire agreement
These Terms, the Privacy Policy and any applicable paid-service or enterprise terms constitute the agreement governing your use of Proudli. Separately agreed terms prevail to the extent of inconsistency.
46. Governing law
These Terms are governed by the laws applying in New South Wales, Australia. Subject to mandatory rights, the parties submit to the non-exclusive jurisdiction of NSW courts and courts hearing appeals from them.
